Terms and Conditions
The terms governing use of this website and enquiries made to Nexcellon Digital.
Effective 25 September 2026.
Clear expectations.
Practical engagement.
01 / Acceptance
Using this website.
These Terms and Conditions govern use of nexcellondigital.in and any enquiry submitted through the website, chatbot, email or linked communication channel. By using the website, you agree to these terms. If you do not agree, please discontinue use.
Nexcellon Digital is a sole proprietorship operating from Bengaluru, Karnataka, India.
02 / Website information
Information is not a service commitment.
Website content provides general information about our capabilities and approach. It is not a binding quotation, guarantee, legal, financial or other professional advice, or a commitment to deliver a specific result.
An enquiry, chatbot conversation or introductory discussion does not create a client relationship. A service engagement begins only when the parties accept a written proposal, statement of work, service agreement, order or equivalent document.
03 / Services
Scope, changes, pricing and payment.
The scope, deliverables, responsibilities, timeline, fees, taxes, payment schedule, revision limits, acceptance process, support and warranty terms for each project will be stated in the applicable commercial document.
Requests outside the agreed scope, including additional revisions, features, integrations, content or changed instructions, may require a revised fee and delivery timeline. Nexcellon Digital is not required to begin a change until it is approved in writing.
Unless agreed otherwise in writing, third-party costs such as domain registration, hosting, licences, advertising spend, messaging fees, AI usage, CRM subscriptions, payment charges and external integrations are separate from Nexcellon Digital service fees.
Work may be scheduled or started after receipt of the agreed advance payment. Delayed information, access, feedback, approvals or payment may pause the work and change the delivery timeline. A project that remains inactive may be closed or rescheduled in accordance with the applicable commercial document, and restarting it may require revised fees or timelines.
04 / Customer responsibilities
What customers must provide.
- Accurate requirements, authorised contacts and timely decisions.
- Required content, brand assets, system access, licences and approvals.
- Confirmation that supplied materials, instructions and data are accurate and can lawfully be used.
- Review, testing and approval of deliverables within agreed timelines.
- Compliance with laws, platform policies and industry obligations applicable to the customer business.
- Independent copies and backups of important content, records, credentials and source data unless managed backup is expressly included in the service.
You are responsible for maintaining secure access to your accounts, using appropriate passwords and promptly removing access that is no longer required.
To the extent permitted by law, the customer will be responsible for third-party claims arising from content, data, instructions or materials supplied by the customer, or from unlawful or unauthorised use of a deliverable by the customer.
05 / AI and third-party services
Customer review and external platforms.
AI-generated responses, recommendations and automated outputs may be incomplete, inaccurate, delayed or unsuitable for a particular purpose. The customer is responsible for reviewing, verifying and approving AI-generated information before relying on it, sharing it or using it to make decisions.
The customer must promptly inform Nexcellon Digital if an AI response, workflow or automation requires correction or adjustment. Nexcellon Digital may assist with reasonable configuration changes within the agreed project scope. Additional training, content updates, integration changes or ongoing monitoring may require a separate support arrangement or additional fees.
Projects may use third-party products such as WordPress, hosting providers, domain registrars, Meta, WhatsApp, Zoho, analytics services, AI providers and automation platforms. Their availability, pricing, policies, security, model behaviour, restrictions and service levels are controlled by those providers and remain subject to their respective terms.
To the extent permitted by law, Nexcellon Digital is not responsible for third-party outages, policy or pricing changes, account restrictions, inaccurate outputs, suspension, data loss or service interruption outside its reasonable control. This clause does not exclude responsibility that cannot lawfully be excluded or responsibility for a proven failure by Nexcellon Digital to perform its expressly agreed obligations.
06 / Results and availability
No guaranteed business outcome.
Unless expressly stated in a signed commercial document, Nexcellon Digital does not guarantee search rankings, advertising performance, enquiry volume, lead quality, conversion, sales, revenue, customer response, platform approval or uninterrupted operation.
Results depend on factors including the customer offer, pricing, content, response time, market conditions, customer actions, data quality and third-party systems. Estimates, demonstrations and examples are illustrative and are not guarantees of future results.
Websites, integrations and automated systems may require maintenance, updates and compatible third-party services. Security, recovery, monitoring and ongoing support are included only when stated in the applicable commercial document.
07 / Review and acceptance
Customer approval and handover.
The customer must inspect and test deliverables within the review period stated in the applicable commercial document and report material issues in writing with sufficient detail. If no material issue is reported within that period, the deliverable may be treated as accepted.
Minor defects that do not prevent the substantial intended use of a deliverable do not justify withholding acceptance or payment. Corrections after acceptance, new requirements and third-party changes may be treated as support or additional work.
08 / Intellectual property
Ownership and permitted use.
The Nexcellon Digital name, website design, text, graphics and original website materials are protected by applicable intellectual property laws and may not be copied, resold or represented as another party work without written permission.
Project-specific ownership, licences and transfer of deliverables will be governed by the applicable written agreement. Unless otherwise agreed, ownership of approved final deliverables transfers only after full payment. Pre-existing tools, templates, methods, know-how, reusable components and third-party materials remain with their respective owners.
Customers grant Nexcellon Digital permission to use supplied content, data and access solely to perform the agreed services.
09 / Acceptable use
Prohibited activity.
You must not misuse the website or any delivered system, interfere with security, introduce malicious code, attempt unauthorised access, scrape content at scale, infringe intellectual property, misrepresent your identity or use our services for unlawful, deceptive, harmful or abusive activity.
10 / Confidentiality and data
Information handling.
Each party must take reasonable care to protect non-public information received during a project and use it only for the agreed purpose. Personal information submitted through the website is handled according to our Privacy Policy.
If a project involves personal data controlled by the customer, the customer remains responsible for the lawful basis, required notices, consent, data accuracy and legality of its instructions. Unless agreed otherwise, Nexcellon Digital processes that data only for the agreed service and documented instructions. Additional obligations should be recorded in the proposal, service agreement or a data processing agreement.
11 / Liability
Limitations and responsibility.
To the maximum extent permitted by law, Nexcellon Digital will not be liable for indirect, incidental, special or consequential losses, loss of profit, loss of opportunity, loss of data or losses caused by customer instructions, customer delay, unauthorised changes or third-party services outside its reasonable control.
To the maximum extent permitted by law, total liability arising from a specific paid service will not exceed the fees actually paid to Nexcellon Digital for that service. Nothing in these terms limits a responsibility or remedy that cannot lawfully be excluded.
12 / Suspension, cancellation and refunds
Ending or pausing services.
We may restrict website access or suspend work where there is unlawful use, a security risk, non-payment, material breach or failure to provide required cooperation. Suspension caused by the customer does not automatically extend committed third-party services or remove payment obligations for completed, scheduled or committed work.
Advance payments, cancellation charges, refunds, handover and termination will be governed by the applicable proposal or service agreement and mandatory law. Unless that document states otherwise, fees for completed work, approved milestones, acquired third-party services and non-cancellable commitments are not refundable.
13 / Events outside control
Force majeure.
Neither party will be responsible for delay or failure caused by events outside its reasonable control, including major internet or power failures, natural disasters, government action, labour disruption, cyber incidents not caused by that party, war, civil disturbance or widespread third-party platform failure. The affected party should notify the other party when reasonably possible and resume performance when the event permits.
14 / Contract priority and changes
Which terms apply.
If an accepted proposal, statement of work or service agreement conflicts with these website terms, the accepted commercial document controls for that service. These website terms do not replace project-specific commitments.
We may update these terms for future website use and future engagements. An update will not retrospectively change an already accepted commercial document unless the parties agree in writing or applicable law requires the change.
15 / Law and contact
Governing law and questions.
These terms are governed by the laws of India. Before starting formal proceedings, the parties should first provide written notice of the dispute and attempt a good-faith resolution. This does not prevent either party from seeking urgent relief or using a remedy that cannot lawfully be restricted.
Subject to applicable mandatory law, courts in Bengaluru, Karnataka will have jurisdiction.
Questions about these terms may be sent to hello@nexcellondigital.in.
